The sole shareholder of San Marino Innovation SpA is the Eccellentissima Camera of the Republic of San Marino. All patrimonial relations of the State are managed through this body, which is a distinctive feature of the San Marino system. The Eccellentissima Camera is therefore recognized not only as a legal entity but also as the official representative of the State in all economic and patrimonial matters that concern it.

Entities, bodies, and institutions of a governmental nature, such as San Marino Innovation SpA, are characterized by the presence of members in their administrative bodies—such as the Board of Directors—who are appointed by the political components that make up the General Council, the legislative body of the Republic of San Marino.

In certain cases, the Board of Directors may also include members appointed by the Congress of State, the organ that holds executive power.
